Special Terms - Soundtrack Player Hardware Subscription

These special terms apply solely to the Soundtrack Player Hardware Subscription. In the event of any inconsistency between these special terms and Soundtrack's General Terms and Conditions (the "GTC"), these special terms shall prevail to the extent of such inconsistency, but the GTC shall otherwise remain in full force and effect. Capitalised terms used but not defined herein shall have the meanings given to them in the GTC. By accepting these terms, you warrant that you are authorised to do so on behalf of your company.

By accepting these terms, you agree to order the Soundtrack Player (defined as a “Hardware Product” in the GTC) on a usage subscription basis. Upon your receipt of the Soundtrack Player, ownership of the delivered Soundtrack Player transfers to you.  However, you acknowledge that the use of the Soundtrack Player for the Service is on a subscription basis (the “Hardware Subscription”), requiring a monthly or yearly fee as agreed in the checkout. The Hardware Subscription shall have an initial fixed term of 12 months commencing on your order of the Soundtrack Player. After the initial fixed term, the Hardware Subscription shall automatically renew for successive fixed terms corresponding to your applicable billing cycle: one month if you are billed monthly or 12 months if you are billed yearly. You may terminate the Hardware Subscription with effect from the end of the then-current term by giving notice in accordance with the GTC. You must pay the Hardware Subscription fees in full for the initial fixed term and each subsequent renewal term. For the avoidance of doubt, if you terminate the Hardware Subscription with effect prior to the expiry of the initial fixed term or any subsequent renewal term, you remain liable for all Hardware Subscription fees payable for the remainder of that term, less any amounts already paid in respect of that period, and we have the right to invoice you for the outstanding amount. 

We provide a Warranty (as described in the GTC) for the Soundtrack Player. The Warranty applies from the Delivery Date until the expiry of the last term of the Hardware Subscription for which Hardware Subscription fees are payable. This paragraph supersedes the GTC’s standard 12-month Warranty Period only for Soundtrack Players ordered under the Hardware Subscription; the Warranty Claim procedure, Warranty Exclusions and the sole-and-exclusive-remedy provision set out in the GTC’s Warranty section otherwise continue to apply unaffected, as does the remainder of the GTC’s Hardware Product terms (including Terms of Delivery, Partner Warranty and Delivery Time). If the Soundtrack Player materially fails to conform to the Warranty set forth in the GTC, as determined by us, we shall replace or repair the nonconforming Soundtrack Player with a comparable product, as determined by us in our discretion.

Subject to the GTC, we reserve the right to amend these special terms from time to time at our discretion.
